The Service is provided to You “AS IS” and “AS AVAILABLE” and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, the Company provides no warranty or undertaking, and makes no representation of any kind that the Service will meet Your requirements, achieve any intended results, be compatible or work with any other software, applications, systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected.
Without limiting the foregoing, neither the Company nor any of the company’s provider makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Service, or the information, content, and materials or products included thereon; (ii) that the Service will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Service; or (iv) that the Service, its servers, the content, or e-mails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components.
Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to You. But in such a case the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.
Governing Law The laws of the Country, excluding its conflicts of law rules, shall govern this Terms and Your use of the Service. Your use of the Application may also be subject to other local, state, national, or international laws.
Disputes Resolution If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.
Severability and Waiver
Severability If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
Waiver Except as provided herein, the failure to exercise a right or to require performance of an obligation under this Terms shall not effect a party’s ability to exercise such right or require such performance at any time thereafter nor shall be the waiver of a breach constitute a waiver of any subsequent breach.
Translation Interpretation These Terms and Conditions may have been translated if We have made them available to You on our Service. You agree that the original English text shall prevail in the case of a dispute.
Software, Implementation and Support Terms and Conditions
- All prices excludes VAT, unless stated differently.
- Quotations are valid for 7 days only.
- Prices are based on the current exchange rate and custom duties/rates. Should these rates/duties substantially change, Blueglobe27 reserves the right to amend the prices accordingly but not without prior notice.
- Quotation is based on customer briefing.
- Although the implementation fees specified are estimations, the costs will be fixed for the project provided all business and system processes fit into Sage Pastel Software as configured by Blueglobe27 in an industry accepted configuration.
- Any customization required will need to be identified and specified together with the associated additional costs. Customization is defined to be any requirement in which Sage Pastel Software’s business, system or process logic needs to be changed and these changes cannot be achieved using standard configuration.
- The Annual Maintenance on software ensures you always own the latest version of the product as well as all product updates and support from Sage Evolution.
- The entire implementation will take place at one location unless otherwise specified.
- The implementation is for financials with the relevant modules quoted.
- Software Prices are payable on signing of order.
- Setup and Installation will be invoiced weekly at an hourly rate, payable as per the client’s account terms.
- Order(s) placed and then cancelled are subject to a handling fee.
- Products remain the property of Blueglobe27 until paid in full.
- Each quotation assumes that all existing software is legal software and is in generally accepted working condition.
- Blueglobe27 assumes that suitable computer hardware, data backup devices, operating systems, database, network, and other infrastructures are in place.
- All passwords, data, form layouts etc. supplied by the client to Blueglobe27 will be held in the strictest confidence.
- Hours/Days of labor quoted but not used will not be charged.
- Quotes do not include Accommodation and/or Travel outside Johannesburg.
- The client will provide a resource that will be trained to assist other users and provide first line support.
- Blueglobe27 assumes users are computer literate and understand computer fundamentals.
- The client will provide suitable resources to capture master-file information and data, unless otherwise agreed upon.
- Client staff will be trained to capture information where relevant.
- The client will grant on request, access to the required servers should remote access support need to be administered.
- Training is quoted at an hourly rate based on the amount of hours required to complete all the necessary training.
- Quotation is valid for 7 days only.
- Quotation is based on customer briefing.
- Although Blueglobe27 has been supporting, selling, and training Sage Software for the last 15 years, the scope and details of the training is determined by the client.
- The entire training will take place at one location unless otherwise specified.
- Users/Trainees to be fairly competent and knowledgeable in Sage Software.
- Software must be legally licensed and in working order.
- The client will grant on request, passwords and/or access to the required servers.
- Training to be done on either the client’s copy company or Blueglobe27 cloud server.
- Any modules and functionalities not available on the client’s copy company will be presented on Blueglobe27 cloud server.
- No customization are been included in training quotes unless otherwise specified.
- Training will be invoiced weekly at an hourly rate and is payable as per the client’s account terms.
- A deposit of 50% is required before training can commence.
Changes to These Terms and Conditions
We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion. By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the website and the Service.
